1. Parties and acceptance

  • This agreement is made between EgyGomla (the «platform») and the business registered on the platform as a supplier (the «supplier»), represented by the person who accepted it electronically and who confirms they are authorised to bind it.
  • The agreement is formed by electronic acceptance when the supplier account is created or when an amended version is accepted, and the electronic record of that acceptance is admissible evidence under E-Signature Law No. 15 of 2004.
  • It is supplemented by the terms of use, the commission and payments policy, the shipping and delivery policy, the inspection, disputes and returns policy, the prohibited products policy, the verification policy and the privacy policy.

2. Accurate data

  • The supplier gives correct and complete data and updates it as soon as it changes, including its business details, commercial register, tax card, address and settlement account, which must be in the name of the business or its owner.
  • Product data must be accurate: description, specification, real photos, prices, minimum order, stock, preparation time, packaging, weight and dimensions.
  • The supplier bears the loss caused by incorrect data, such as extra shipping cost caused by a wrong weight or dimensions.

3. Product conformity and safety

  • As the seller, the supplier delivers goods that match the accepted order in type, specification, quantity and quality, free of defects, and meeting the mandatory Egyptian standards and licences needed to trade them.
  • The supplier gives the hidden-defect warranty under the Civil Code and is liable for defective products towards the buyer and third parties.
  • The supplier packs the goods suitably for transport and bears damage caused by unsuitable packaging.
  • The supplier prepares the order and hands it to the carrier within the stated preparation time. Repeated delays or cancellation without an acceptable reason allow the platform to cancel the order, refund the buyer and restrict the account.

4. Return costs

  • If non-conformity, a defect, a shortage or a wrong item is proven for a reason attributable to the supplier, the supplier bears the shipping cost both ways and any non-refundable payment fees, deducted from its payouts or paid on demand.
  • If the return is for a reason attributable to the buyer, such as refusing delivery without an acceptable reason, the buyer bears its cost under the shipping and delivery policy.
  • Damage or loss in transit caused by the carrier is handled by the platform with the carrier under the shipping and delivery policy, and is not borne by the supplier unless it results from the packaging or the delivery was with its own vehicles.

5. Commission

  • For every order completed through it, the platform earns a commission of 5% of the goods value, borne by the supplier alone and paid by deduction from its amount at settlement; the buyer does not pay it.
  • The rate falls automatically to 4% and then 3% as the supplier's settled sales through the platform grow over the last 90 days, according to the tiers shown in the supplier dashboard. The rate that applies is the one shown when the order is created, and it does not change after the deal is agreed.
  • The goods value is the total price of the goods payable by the buyer in the accepted order; it excludes delivery and insurance.
  • The buyer pays the delivery it chooses in the shipping calculator to the platform, which books the carrier and pays its fee; the platform pays the payment-gateway fees out of the commission.
  • If the supplier offers delivery with its own vehicles, free or at a fixed price, its price (if any) goes to the supplier with its amount and carries no commission. The supplier delivers on the date it stated, records proof of delivery in the order, and bears the risk of loss and damage until delivery.
  • Value added tax is added to the commission where it is legally due, and the platform issues the supplier an e-invoice for the commission.
  • The commission is calculated on the final goods value after any partial refund, and is not due on an order refunded in full, while the supplier bears the costs in clause 4 if the refund is for a reason attributable to it.
  • There are no subscriptions, plans or placement fees for suppliers, and the supplier's own performance insights (such as profile views and quote requests) are free.
  • The commission rate, its tiers or the shipping mode are changed by notifying the supplier at least 30 days in advance, and a change never applies to orders created before it takes effect. The supplier may end the agreement before the change takes effect at no cost.

6. Collection and settlement

  • The buyer pays a payment provider licensed by the Central Bank of Egypt under Central Bank and Banking Law No. 194 of 2020; the provider holds the money and it never enters the platform's account.
  • The supplier gives the platform a limited mandate to instruct the payment provider to release, settle and refund under this agreement and dispute decisions. The buyer's payment to the provider discharges the buyer's obligation to pay the supplier.
  • The supplier's net amount (the goods value less the commission, its tax and any amounts it owes, plus delivery with its own vehicles if any) is released after the buyer accepts, the inspection window ends without a dispute, or a dispute decision is made, and is transferred to its registered payout account in the provider's settlement cycle.
  • Only the owner of the supplier's organisation registers the payout account (a bank account in the business's name, a mobile wallet or an InstaPay address) together with the business details the provider asks for, after a recent sign-in, and only the owner changes it the same way. Payouts are never sent to an account the owner has not registered, and settlement waits until one is.
  • The payment provider may verify the identity of the business and its owner under anti-money-laundering rules; settlement starts only after that verification is complete.
  • The supplier expressly consents to the processing of its payout account details and the details the provider asks for to verify the business (its legal name, commercial register number and tax number) — financial data that may be sensitive — only as needed for settlement and only by the payment provider. They are stored encrypted and not shown in full to anyone after saving; the platform's team sees only the last four digits.
  • The platform may set off the supplier's payouts against return costs, refunds or chargebacks for which the supplier is proven responsible, with an itemised settlement statement.
  • Settlement may be paused temporarily on a reasonable suspicion of fraud or a serious breach, or at the request of a competent authority, and the supplier is told why unless the law prevents it.

7. Non-circumvention

  • During this agreement and for 6 months after its last contact with a buyer through the platform, the supplier may not complete a sale outside the platform with a buyer it met through the platform in order to avoid the commission, nor invite the buyer to pay or communicate outside it for that purpose.
  • For that purpose, phone numbers, accounts or outside payment methods may not be placed in products, quotes or messages.
  • If circumvention is proven, the platform is owed the commission on the value of the deal completed outside it, at the rate that would have applied, without prejudice to its right to suspend the account or end the agreement. No fine or penalty clause applies beyond that.
  • This clause covers only buyers the supplier met through the platform, and does not stop the supplier from dealing with customers it knew before or outside the platform.

8. Conduct and buyers' personal data

  • Answer quote requests, messages and disputes professionally and on time, including answering a dispute within two business days of notice.
  • Do not abuse, discriminate against, threaten or mislead buyers.
  • Use the personal data of buyers that the supplier sees (such as name, address and phone) only to fulfil the order, protect it under Personal Data Protection Law No. 151 of 2020, and never use it for marketing without the person's consent.

9. Verification

  • The supplier uploads verification documents through the private path in its account and confirms they are genuine and valid. A qualified reviewer examines them and decides the result under the verification policy.
  • The verification badge is never sold or granted for any payment, and may be withdrawn if the documents prove incorrect or expire.
  • Submitting forged or altered documents allows the platform to end the agreement immediately and to inform the competent authorities.

10. Content and intellectual property

  • The supplier grants the platform a non-exclusive, free licence to host, display, copy and resize its photos, descriptions and trade mark as needed to show its products on the platform, in search-engine results and in the platform's promotional material, for the term of this agreement and a reasonable period after removal. The licence covers the technical service providers working for the platform.
  • The supplier confirms that the content and marks it shows are its own or licensed to it, that they do not infringe third-party rights under Intellectual Property Law No. 82 of 2002, and that it alone bears any claim about them.
  • The platform may hide any content on a serious report that it infringes third-party rights until the report is decided.

11. Suspension and termination

  • The platform may suspend the account, hide products or end the agreement for a serious breach, repeated disputes decided against the supplier, circumvention, listing prohibited products, forged documents or an order of a competent authority, and will tell the supplier why. Outside urgent cases the supplier is given a chance to correct the breach.
  • The supplier may end the agreement at any time by notice from its account, after completing or cancelling open orders under the policies.
  • Clauses on amounts due, set-off, indemnity, non-circumvention, data protection and governing law survive termination.

12. Liability and indemnity

  • The supplier indemnifies the platform against claims, fines and losses arising from its products or from its breach of the law, this agreement or third-party rights.
  • To the extent the law allows, the platform's total liability to the supplier for any claim does not exceed the greater of the commission collected on the order the claim concerns and the commissions it collected from the supplier in the three months before the event claimed, and in any case not less than EGP 1,000; the platform is not liable for lost profit or indirect loss.
  • This limit does not apply to fraud or gross negligence under article 217 of the Civil Code, nor to the platform's obligation to direct the supplier's held amounts to it under this agreement.

13. Taxes

  • The supplier is responsible for its tax obligations as seller, including value added tax registration under Law No. 67 of 2016 once it reaches the registration threshold, and issuing the e-invoice or e-receipt to the buyer where the system applies to it.
  • The platform meets its own tax obligations on the commission and may give the competent authorities the data the law requires it to provide.

14. Governing law and disputes

  • This agreement is governed by the laws of the Arab Republic of Egypt, including the Civil Code and Commercial Law No. 17 of 1999.
  • The parties will try to settle any dispute between them amicably within thirty days of written notice. Failing that, the courts of Cairo have jurisdiction, including the Cairo Economic Court where it has jurisdiction under Law No. 120 of 2008 establishing the economic courts.
  • By a written agreement made after a dispute arises, the parties may refer it to arbitration under Arbitration Law No. 27 of 1994 and the rules of the Cairo Regional Centre for International Commercial Arbitration, before a sole arbitrator, seated in Cairo and conducted in Arabic.
  • The Arabic text of this agreement prevails in case of any difference.
